These Terms of Service ("Terms") form a legally binding agreement between you ("you," "your," or the "Customer") and Daniks LTD ("Daniks.AI," "we," "our," or "us"), a company registered in the Republic of Cyprus with its registered office at 23 Stasinou Street, 2404 Engomi, Nicosia, Cyprus. They govern your access to and use of our website at daniks.ai, our application at app.daniks.ai, and all related products, features, and services (collectively, the "Service").
By creating an account, starting a free trial, subscribing to a paid plan, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Refund Policy, which are incorporated by reference. If you do not agree, you may not use the Service.
Daniks.AI is a software-as-a-service (SaaS) platform that helps Amazon sellers and vendors manage and optimize their Amazon Pay-Per-Click (PPC) advertising. Once you connect your Amazon Advertising account, the Service uses automated and AI-driven processes to monitor campaign performance and adjust your advertising campaigns toward the target Advertising Cost of Sales (ACoS) and other settings that you configure. Features may include automated bid and budget management, campaign creation and adjustments, keyword and targeting insights, and performance reporting and analytics.
The specific features available to you depend on the plan you select. We may add, modify, or discontinue features from time to time as described in Section 16.
The Service is intended for business use by Amazon sellers, vendors, agencies, and their authorized representatives. By using the Service, you represent and warrant that you are at least 18 years old, that you have the legal capacity and authority to enter into these Terms, and that, if you are using the Service on behalf of a company or other legal entity, you are authorized to bind that entity to these Terms.
To use most features of the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to safeguard your credentials.
The Service operates by connecting to your Amazon Seller, Vendor, and/or Advertising account through Amazon's official APIs. By connecting your account and granting the relevant authorizations, you expressly authorize Daniks.AI to access your advertising and account data and to create, modify, pause, and otherwise manage advertising campaigns and related settings on your behalf, in accordance with the configuration and targets you set within the Service.

We may offer a free trial (currently 14 days) so that you can evaluate the Service. You will not be charged during the trial period. Unless you select a paid plan, your access to paid features will end when the trial expires. Trial terms may vary and are described at the point of sign-up.
The Service is offered on a recurring subscription basis. Subscription fees, billing frequency, and plan limits are displayed on our pricing page at the time of purchase. Unless otherwise stated, subscriptions renew automatically at the end of each billing period at the then-current rate until cancelled. By subscribing, you authorize us and Paddle, our Merchant of Record, to charge the applicable fees to your payment method on a recurring basis.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
This means that when you purchase a subscription to the Service, the seller of record is Paddle (Paddle.com Market Limited, or Paddle.com Inc. for customers in the United States), which processes your payment, issues your invoice or receipt, is responsible for collecting and remitting applicable VAT, sales tax, and similar charges, and processes any refunds. Your purchase is therefore also subject to Paddle's Buyer Terms and Conditions, Refund Policy, and Privacy Policy, and charges may appear on your bank or card statement under Paddle's name.
Fees are exclusive of taxes unless stated otherwise; applicable VAT, sales tax, or similar charges will be added at checkout where required. We may change our prices and plans from time to time. Any price change will apply to your next billing period, and we will provide reasonable advance notice where required by law.
You may cancel your subscription at any time, with no notice period required, from within your account or by contacting us at [email protected]. Cancellation stops future renewals; your subscription remains active and you retain access to paid features until the end of your current paid billing period. After cancellation, automated campaign optimization will cease. Cancellation does not by itself trigger a refund; if you cancel within 14 days of your first subscription payment, you may also request a refund of that payment as described in our Refund Policy.
Refunds are governed by our Refund Policy, which forms part of these Terms. In summary: you may request a full refund of your first subscription payment, for any reason, within 14 days of the date of that payment, with no exceptions. Refunds are processed by Paddle as our Merchant of Record and are returned to your original payment method. Renewal payments, and payments made more than 14 days ago, are non-refundable except in the circumstances set out in the Refund Policy or as required by applicable law.

The Service provides tools to help you manage and optimize Amazon advertising, but advertising outcomes depend on many factors outside our control — including your products, pricing, listings, inventory, competition, market conditions, and Amazon's own systems and algorithms. We do not guarantee any specific results, including any particular level of sales, ACoS, ranking, profitability, or return on ad spend. You remain solely responsible for your advertising budgets, strategy, and the amounts you spend on Amazon, and you acknowledge that automated changes made through the Service may affect your ad spend and performance.
The Service, including all software, text, graphics, logos, designs, and underlying technology, is owned by Daniks.AI or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription. All rights not expressly granted are reserved.
You retain ownership of the data you provide and the data we access from your connected Amazon accounts ("Customer Data"). You grant us a worldwide, non-exclusive license to host, process, and use Customer Data solely to provide, maintain, secure, and improve the Service and as otherwise described in our Privacy Policy. You are responsible for ensuring you have the rights necessary to share Customer Data with us. Our collection and use of personal information is described in the Privacy Policy.
The Service integrates with and relies on third-party services, including Amazon and Paddle (our Merchant of Record). Your use of those services is subject to their respective terms and policies. We are not responsible for the availability, accuracy, content, or practices of third-party services, and any disruption or change to them may affect the Service.
To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will meet your requirements or produce any particular results. This does not affect any non-excludable statutory rights you may have.
To the maximum extent permitted by law, Daniks.AI and its directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, sales, data, goodwill, or advertising spend, arising out of or in connection with your use of (or inability to use) the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for any claims arising out of or relating to these Terms or the Service will not exceed the total amount you paid to us for the Service in the three (3) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
We may modify, suspend, or discontinue all or part of the Service at any time. We may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Service and may cancel your subscription.
You may stop using the Service and cancel at any time as described in Section 7. We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, fail to pay applicable fees, use the Service in a way that creates legal or security risk, or as required by law. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.
These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of the Republic of Cyprus, without regard to its conflict-of-laws rules. The courts of Cyprus will have jurisdiction over any such dispute, except that this does not deprive you of any mandatory consumer protections available to you under the laws of your country of residence. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver of it. You may not assign or transfer these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for any failure or delay caused by events beyond our reasonable control.
